Agreement to Terms
By accessing and using SodaStack's digital services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from utilizing our platforms or services.
Services Description
SodaStack provides premium custom web design, application engineering, and digital presence services including:
- Small Business & Local Web Presence Development
- Personal Branding, Portfolios & Creator Websites
- Non-Profit Web Platforms & Donation System Integrations
- Custom E-Commerce Storefronts & Web Applications
- Technical optimization, deployment, and performance consulting
User Obligations
When working with us, you agree to:
- Provide accurate project assets and timely feedback
- Use all developed properties for lawful purposes only
- Respect engineering intellectual property and software licensing agreements
- Cooperate in good faith during active development sprint phases
- Remit project payments according to the milestones specified in your statement of work
Payment Terms
Specific payment schedules, milestone criteria, and deposit amounts will be contractually defined in individual custom project agreements. General conditions dictate:
- Invoices must be settled within the windows outlined in project contracts
- Delays in payment may cause suspension of ongoing engineering or deployment pipelines
- All financial values are handled in USD unless explicitly noted otherwise
Intellectual Property & Ownership
Ownership of deliverables is cleanly structured to avoid platform lock-in:
- Final custom code bases and digital structural assets belong 100% to the client upon receipt of full contractual payment.
- SodaStack retains the right to use boilerplate scripts, general libraries, and development methodologies engineered during the project.
- SodaStack reserves the right to showcase final visual layouts in professional portfolios unless an explicit non-disclosure agreement (NDA) is executed.
Limitation of Liability
SodaStack's liability is strictly capped at the direct financial amount paid for the specific services rendered under the active contract. We are not liable for any indirect, circumstantial, or consequential damages (including data loss or hosting platform downtime). Services are delivered on an "as is" performance baseline.
Governing Law
These terms are governed explicitly by the laws of the State of New York. Any legal resolution, dispute arbitration, or contractual mediation will take place exclusively in Nassau County, New York.
